This Notice is sent to you as a shareholder of State Street Liquidity plc . It is important and requires your immediate attention. If you are in any doubt as to the action to be taken, you should immediately consult your stockbroker, solicitor or attorney o r other professiona l advisor. If you sold or otherwise transferred your h olding in State Street Liquidity plc , please send this Notice to the stockbroker or other agent through whom the sale or transfer was effected for transmission to the purchaser or tra nsferee.
This Notice has not been reviewed by the Central Bank of Ireland (the “ Central Bank ”) and it is possible that changes thereto may be necessary to meet the requirements of the Central Bank. The Company has taken all reasonable care to ensure that, as at the date of this Notice, th e information contained in this Notice is in accordanc e with the facts and does not omit anything likely to affect the import of such information. The Company accepts responsibility for the information contained in th is Notice.
Unless otherwise indicat ed, all capitalised terms in this Notice shall have the same meaning as described in the prospectus for State Street Liqui d i ty Plc dated 9 March 2021 , as amended (the “ Prospectus ”).

Updated Prospectu s & Supplements
Dear Shareholder
State S Street Liqui d i ty Plc (the “ Company ” )
We are writing to you as a Shareholder in the Company to advise you of amendments to the Prospectus and Supplements, as summarised below :
• State Street Global Advisors is ratio nalis ing its legal entity footprint in the EU, c onsolidating its EU operating model under a single legal entity, State Street Globa l Advisors Europe Limited (“ SSGAEL ”) .
• As a result, the Company will appoint SSGAEL as Management Company and new Investment Manager to the Funds , replacing State Stre et Global Advisors Limited .
• SSGAEL may onwards delegate the execution of certain activities to other SSGA group entities whilst retaining other activities that it can directly perform noting a wholesale update t o the Sub - Investment Manager structure of the company as further detailed in the Fund Prospectus and Supplements .
The above changes will be effective from 1 st August or such later date as the Central Bank shall approve the updated Prospectus and Supplemen ts . You do not need to take any ac tion in response to this n otice and no Shareholder meeting or vote is re quired.
